Welcome Valued Cisco Stockholders,

We are using the Internet as our primary means of furnishing proxy materials to stockholders. Consequently, most stockholders will not receive paper copies of our Proxy Statement and our Annual Report to Stockholders. We will instead send these stockholders a Notice of Internet Availability with instructions for accessing the proxy materials, including our proxy statement and annual report, and voting via the Internet. The notice also provides information on how stockholders may obtain paper copies of our proxy materials if they so choose.

Participating in the Annual Meeting

You are entitled to participate in the annual meeting if you were a stockholder of record or a beneficial owner of our common stock as of October 10, 2024, the record date, or you hold a valid legal proxy for the annual meeting.

The annual meeting will begin promptly at 8:00 a.m. Pacific Time on Monday, December 9, 2024. We encourage you to access the annual meeting prior to the start time. Online access will begin 15 minutes prior to the start of the annual meeting, at 7:45 a.m. Pacific Time.

This year’s annual meeting will only be accessible online through the Internet. We have worked to offer the same participation opportunities as if you attended the annual meeting in person. You will be able to attend, submit questions and vote your shares electronically during the annual meeting by visiting www.virtualshareholdermeeting.com/CSCO2024. To participate in the annual meeting at www.virtualshareholdermeeting.com/CSCO2024, you must enter the 16-digit control number found next to the label “Control Number” for postal mail recipients or within the body of the email sending you the Proxy Statement.

We will provide a live webcast of the annual meeting from our Investor Relations website at investor.cisco.com. A replay of the annual meeting, including the question and answer session, will be available on our Investor Relations website at investor.cisco.com after the meeting.

About the Notice of Internet Availability of Proxy Materials

The Notice of Internet Availability of Proxy Materials provides information on how to access your proxy on the Internet, which contains instructions on how to vote via the Internet or by telephone.

The Notice contains:

  • A notice of the annual meeting;
  • A brief description of the items to be voted on at the annual meeting and the recommendation of Cisco's Board of Directors with regard to each item;
  • The address of the website where the proxy materials are available and instructions on how to view them;
  • Instructions on how to request paper or email copies of the proxy materials; and
  • Instructions on how to vote via the Internet, how to access instructions on voting by telephone, or how to vote virtually at the annual meeting.

Importantly, the Notice of Internet Availability will contain a 16-digit control number that recipients will need to access the proxy materials, to request paper or email copies of the proxy materials, and to vote their shares via the Internet or by telephone. For this reason, we suggest retaining the Notice through the date of the annual meeting.

Voting Your Proxy

If you are a registered stockholder or a beneficial stockholder and you would prefer to vote via the Internet, or you would like instructions on how to vote by telephone, visit www.proxyvote.com with the 16-digit control number from your Notice of Internet Availability or, if you received one, your paper proxy card or voter instruction form.

Paper or Email Copies of 2024 Annual Meeting Materials

We encourage stockholders to register for online delivery of stockholder materials via our Investor Relations website at investor.cisco.com. Navigate to “Resources & FAQs” via the menu at the top left-hand corner, and then to “Personal Investing” tab. Follow the instructions under the heading “Electronic Enrollment” to register and provide your consent for online delivery. Registering for online delivery of proxy materials supports our efforts to preserve natural resources by reducing mail.
